Turkish Foundation of Health and Education

Foundation Script

ARTICLE-1: Establishment of Foundation

-          A foundation with legal personality has been established by the persons having the name and signature in this script according to the provisions of the Turkish Civil Code.

ARTICLE-2: Name of the Foundation

-          The name of the foundation is Türkiye Eğitim ve Sağlık Vakfı. In this script, “foundation” is used for Türkiye Eğitim ve Sağlık Vakfı.

ARTICLE-3: Headquarter and Branches of the Foundation

-          Headquarter of the foundation is located in Ankara. There are no branches, but it may open branches and representations both in Turkey and abroad.

ARTICLE-4: Purposes of the Foundation

-          To contribute to scientific and institutional developments related to education, culture and health in Turkey

-          To do or make individuals to do research in education, culture and health.

-          To work on the publication of the works of Turkish scientists in Turkish and foreign languages.

-          To make organizations and establish institutions in education, culture and health issues.

-          To contribute to helping the public interest in education, culture and health, help people with science ability to grow, work to develop love and cooperation among people.

-          Providing charitable assistance to the Amenity Fund by making expenditures for the services of the public services included in the budgets of the general, private and annexed budgetary bodies in agreement with the Ministry of Finance.

ARTICLE-5: Activities of the Foundation

-          To realize its goals, foundation,

o   organizes national and international symposiums, seminars and scientific meetings.

o   sends a conferance speaker to meetings in and out of the country.

o   publishes, sets up publication facilities, sells publications. It can buy and sell publications, and run publications.

o   may establish and run companies and organizations to provide financing. It can buy and sell securities, buy and sell mortgages, make commitments, import and export, provide personnel in various countries, education, culture and health.

o   can make, sell, sell and buy movies.

o   does all sorts of works for the publication of scientific works, the protection and spread of copyright.

o   establishes any organization it deems necessary for its purpose.

ARTICLE-6: Membership

-          In order to become a member of a foundation, it is necessary to have professional career in education, culture and health issues or to be active in those areas.

-          Membership shall be discussed on the basis of the proposal of one person from the executive board and decided by majority of votes.

-          A member may leave the membership at any time. The board may remove membership if a member has activities harmful to the foundation's premises.

ARTICLE-7: Bodies

-          Bodies of the foundation are:

o   Board of Directors

o   Honorary Board

o   Advisory Board

ARTICLE-8: Board of Directors

-          The Board of Directors consists of two members with a chairman.

-          The chairman of the Board is Tevfik Metin Önerci. This role of Tevfik Metin Önerci, Chairman of the Board of Directors, continues as long as the foundation is in force, can not be changed, and Tevfik Metin Önerci decides who will succeed in the case of his resignation. For the chairman of the board of directors, briefly the chairman's statement can be used.

-          The other two members of the Board of Directors are appointed by the chairman of the foundation, who dismisses, determines the form and duration of the assignment.

-          The Board of Directors is the decision-making and executive body of the foundation. It takes and executes the necessary decisions about the foundation.

-          The Board of Directors makes the financial statements of the foundation, conducts the purchase and sale, accepts the help, and helps.

-          The Board of Directors determines the amount of the entrance fees, fees and other charges for which the members are liable and the manner of payment.

-          The Board of Directors ensures that the necessary decisions are taken regarding the financial and administrative affairs of the foundation.

-          The chairman of the Board is liable for all kinds of movable and immovable property and money, rights of value in cash, shares and receivables and similar valuable documents, usufruct, goodwill and property rights, all or part of a property existence by means of grants, wills or other death related savings , or the purchase or rental through acquisitions and to save money and this can thus acquired when the goods without transfer foundations necessary waiver to be passed to the property or to one or several of the elements that authorize the foundation necessary powers in this matter and all other types makes private or official work.

ARTICLE-9: Honorary Board

ARTICLE-10: Advisory Board

-          The Advisory Boardis elected by the board of directors from among those who have settled in education, culture and health. Decisions of the Advisory Board are advisory. The Board of Directors is free to implementation of these decisions.

ARTICLE-11: Founders of the Foundation

-          The founders of the Foundation are:

o   Tevfik Metin Önerci

o   Semra Önerci

o   Mustafa Önerci

ARTICLE-12: Property of the Foundation

-          The Foundation's initial assets are:

o   883 square meters real estate with parcel number 446 in Ankara Province Gölbaşı District Ballıkpınar Settlement Hasırcı Location.

o   5 (Five) Billion TL

o   Incomes from the activities of the Foundation

ARTICLE-13:  Incomes of the Foundation

-          Incomes of the Foundation are:

o   Enterance fees of members

o   Monthly fees

o   Donations

o   Revenues from its activities.

ARTICLE-14: Making Changes in the Foundation Script

-          The change in the foundation script may be made by the recommendation of one of the board members and approval of the chairman.

ARTICLE-15: Termination and Discharge of Foundation

-          Termination desicion is taken by the recommendation of a member of the Board of Directors and the approval of the foundation presidents in case the foundation's interests are not legally or practically viable. If the termination is decided, the Board of Directors shall determine the principles of discharge, the true or legal person or persons to whom all the legal matters of the commodities belonging to the foundation at the date of termination shall be transferred.

ARTICLE-16: Unspecified Issues in the Foundation Script

-          The matters not mentioned in the case of the Foundation Script are fulfilled by the Law No. 903 (of the Turkish Civil Code).
